SCOPE OF SERVICES The Consultant will work under the guidance of the Project Coordinator and in close coordination with the Procurement Specialist, Financial Management Specialist, and other PIU staff. The Consultant's main responsibilities shall include, but not be limited to, the following: • Review and provide legal opinions on contracts, agreements, memoranda, and other legal documents prepared under Component 2, ensuring compliance with national legislation, the Project Financing and Grant Agreements, and applicable World Bank requirements. • Provide legal review and advice on procurement, contracting, and implementation activities related to Component 2, including (i) consulting services for developing standards, (ii) arrangements for governance mechanisms addressing GBV-related services, (iii) service agreements for transforming specialized VET schools, (iv) procurement and contracting processes for piloting TSSCs, and (v) subcontracting of services to private (for-profit and non-profit) providers. • Draft, review, and revise contracts with suppliers, contractors, consultants, and service providers engaged under Component 2, ensuring compliance with Uzbek legislation, the Financing Agreement, and World Bank requirements. • Advise the PIU and NASP on contractual rights and obligations under agreements concluded within Component 2, including legally permissible remedies and procedures in cases of non-performance. • Identify legal risks related to the introduction of community-based service delivery models and subcontracting to private providers, and provide recommendations for prevention or mitigation. • Support NASP and the PIU in pre-litigation and dispute resolution matters arising from Component 2 implementation, including drafting/reviewing legal correspondence and supporting negotiations with contractors, consultants, and service providers. • Provide legal advice on the interpretation and application of legislation related to social protection, procurement, labor, taxation, public-private partnerships, and the engagement of national and international consultants. • Monitor changes in Uzbek legislation and other applicable laws and regulations relevant to Component 2, and advise NASP and PIU on their potential impact, including recommendations for necessary adjustments to project procedures and documentation. • Contribute to drafting and revising sections of the POM, operational guidelines, and other project documents from a legal perspective, with specific attention to Component 2 activities and future subcontracting arrangements. • Perform other legal tasks as may be requested by the Project Coordinator, ensuring that all such work is consistent with Uzbek legislation, the Financing Agreements, and World Bank requirements.
IV. OTHER CONDITIONS 1. During the assignment, the Legal and Policy Support Consultant for Social Service Reform shall report directly to the Project Coordinator (Head of the PIU). 2. The Legal and Policy Support Consultant for Social Service Reform shall perform his/her activities in close cooperation with PIU staff, NASP management, and other relevant stakeholders, ensuring that legal support is fully integrated into the planning, procurement, contracting, and implementation of activities under Component 2. 3. NASP will provide the Legal and Policy Support Consultant for Social Service Reform with the following within the scope of this assignment: • Access to relevant internal and external resources, data, and NASP personnel necessary for the performance of duties; • Administrative support, as required, during the course of the consultancy. The duration of this assignment will be 24 months, with a possibility of extension subject to project needs, consultant's performance, and availability of funds. |

REQUIREMENTS FOR CONSULTANT'S QUALIFICATIONS The Consultant hired under this ToR shall meet the following minimal requirements: Education • Bachelor's degree or higher in Law from an accredited university. • Valid professional certificate/license granting the right to practice law, including the authority to issue legal opinions. Experience and skills • Minimum of 3 years of relevant professional experience in legal practice, preferably in contract law, public procurement, and advisory services for donor-funded projects. • Proven experience in drafting and reviewing contracts, agreements, and other legal instruments. • Familiarity with the legal framework of Uzbekistan and, preferably, with World Bank or other international development partners' operational requirements. • Strong analytical, drafting, and negotiation skills. • High attention to detail and accuracy in documentation. • Ability to work collaboratively in a multidisciplinary team environment.
Language requirements: • Proficiency in Uzbek and Russian; working knowledge of English is required. |
